	JOB TITLE: Senior Licensing Attorney JOB DESCRIPTION:Rambus is looking for senior licensing counsel to support the company's growing IP and technology licensing businesses. The position is not with Rambus Legal Department, but with Rambus’ Corporate Licensing Group, and provides the opportunity to work directly with business units responsible for generating a major portion of Rambus’ revenue. Responsibilities would include negotiation and drafting of patent and technology licenses covering Rambus’ core areas of innovation, including semiconductor memory and memory controllers, LED lighting and display, and cryptography. Position would also require assisting in formulating and implementing licensing strategies for relevant IP and technology, educating and advising non-legal business unit employees on technology licensing matters and acquiring understanding of relevant IP and technology markets. Position would report directly to Rambus’ Sr. Director of Licensing. Responsibilities: • Negotiate and draft patent and technology licenses and any related development, prototype, distribution, and similar commercial technology transaction agreements. • Assist in formulating and implementing business licensing strategy for relevant technology and business unit(s) • Educate business and sales staff regarding IP and technology licensing concepts and issues • Coordinate input from different functional groups within Rambus, in particular Rambus’ Legal and Finance departments • Potential for significant international and domestic travel for deals as needed Requirements: • Eight years or more of patent and technology transaction licensing experience with a major law firm or technology company • Demonstrated ability to draft and negotiate patent and technology license agreements • Demonstrated understanding of patent exhaustion doctrine; implied licenses and effects of covenants not to sue • Ability to gauge legal risks in business context and offer practical solutions to reach resolution • Ability to articulate and reach internal consensus within Rambus on approach to address legal risks in relevant transactions • Demonstrated understanding of IP and/or technology licensing business models • • Detail oriented with strong drafting and negotiating skills • Highly motivated, self-starter • Ability to communicate complex legal subject matter to people who do not have in depth familiarity with IP rules and legal concepts • Excellent analytical and problem solving skills, business judgment and strategic legal thinking • Ability to work effectively as a team member • JD with top academic credentials and state Bar membership CONTACT INFO
